Experience

Colette specialises in general corporate, China-related outbound and inbound M&A transactions (particularly China-facing financial institution, tech and fintech M&A transactions) and the regulation of mainland China’s financial markets and financial services. She advises international corporates, financial institutions and private equity firms on their investments and activities in China and advises PRC SOEs and private enterprises on their cross-border investments.

Colette is highly competent in navigating complicated transactions and delivering practical solutions to help clients achieve their strategic business goals. In addition to transactional work, Colette provides regular advice in relation to the Chinese financial market to multiple leading international financial institutions, including advice on the PRC regulatory regime, market access, code of conduct, compliance, trading activities on various domestic markets.

Colette previously trained and practiced at Linklaters, Zhao Sheng’s joint operation partner in China, for more than 10 years before leaving to join Fangda Partners where she has been a partner since 2018. She was ranked as “Next Generation Lawyer” by Legal 500 Asia Pacific three years in a row since 2016. 

Her experience includes advising:

  • multiple international financial institutions in relation to their securities joint ventures in China, including advising HSBC, JPM, Credit Suisse and RBS relating to the establishment and/or restructuring of and/or disposal of interest and/or step up in their respective securities joint ventures in China

  • HKEX on its acquisition of 51% equity interest in Shenzhen Ronghui Tongjin, a technology services provider that specialises in financial exchanges, regulation technologies and data applications

  • Warburg Pincus on its pre-IPO strategic investment in China Huarong and its investments in Cango and Ant Financial, two leading fintech companies in China

  • a couple of proposed transactions involving the amendments to the articles of association and disposal of equity interest of PRC life insurance joint ventures

  • Morgan Stanley on its minority stake investment in ZhongAn Insurance

  • RBS on its acquisition of 19.99% equity interest in Suzhou Trust and the subsequent sale of equity interest in Suzhou Trust

  • CTG on its proposed takeover of Energias de Portugal, a Portugal based and listed energy giant having significant presences over more than 10 jurisdictions

  • a Chinese fund in relation to its acquisition of a minority stake in a holding company that holds certain hydro power plants in Brazil

  • Shandong Hengyuan on its acquisition of 51% interest in Shell Refining Company in Malaysia

  • Sichuan Tianqi on its acquisition of 100% shares of Talison (an Australian company listed in Canadian) through a competing process
